This License Agreement ("Agreement") is a legally binding contract between you ("Licensee" or "Customer") and 1803 Designs LLC ("Licensor," "Company," "we," "us," or "our"). This Agreement governs your use of the website templates ("Templates" or "Products") purchased from 1803 Designs LLC, whether through our official website or authorized third-party platforms.
By purchasing, downloading, accessing, or using any Template, you acknowledge that you have read, understood, and agreed to the terms set forth in this Agreement. This License does not transfer ownership of the Template to you but grants you a limited, non-exclusive, non-transferable, and revocable license to use the Template under the conditions specified herein.
This Agreement is designed to protect the intellectual property rights of 1803 Designs LLC while ensuring that customers receive high-quality digital products for their personal or business use. Unauthorized use, distribution, or modification of our Templates without proper authorization is strictly prohibited and may result in license revocation, legal action, and financial penalties.
By completing your purchase, you expressly agree that this Agreement supersedes any prior understandings, whether written or oral, regarding your rights to use the Template. If you do not agree to the terms of this License Agreement, you must not download, access, or use any Templates provided by 1803 Designs LLC.

Grant of License
Upon purchasing a website template from 1803 Designs LLC, you are granted a limited, non-exclusive, non-transferable, revocable license to use the template for one website per purchase. This license allows you to modify and customize the template to fit your personal or business needs; however, it does not grant ownership of the template or any associated intellectual property rights. The template remains the sole property of 1803 Designs LLC, and all rights not expressly granted under this Agreement are reserved.
Your license permits you to use the template for a single project, whether for personal or commercial purposes, provided that you do not resell, redistribute, or sublicense the template in any form. If you require the template for multiple websites, businesses, or projects, you must purchase a separate license for each use case.
This license grants only the right to use the template as intended, meaning that you may customize its appearance and content for your personal or business website, but you may not modify the template for resale or claim it as your own creation. The license is strictly limited to the purchaser and may not be transferred, assigned, or shared with any third party. Any unauthorized use, sharing, or distribution of the template will result in immediate license termination and may be subject to legal action, including DMCA takedown requests and financial penalties.
By purchasing and using the template, you acknowledge and agree to the terms of this License Agreement. Failure to adhere to these terms will constitute a breach of this Agreement, leading to the immediate revocation of your license and potential legal enforcement actions.

Restrictions on Use
By purchasing a template from us, you acknowledge and agree to the following restrictions on its use. The license granted to you is limited and does not permit resale, redistribution, sublicensing, or any unauthorized sharing of the template. You may not sell, transfer, distribute, or share the template, whether in its original form or a modified version, to any third party, individual, or company. The template is intended solely for your personal or business use, and any unauthorized distribution violates this License Agreement and intellectual property laws.
Modification of the template is permitted only for your own use, but you may not modify the template for resale or claim it as your own design. Any attempt to alter and resell the template, either as a whole or in part, is strictly prohibited. Additionally, you may not upload, share, or distribute the template on open-source platforms, file-sharing services, social media, or any other platform where it could be freely accessed by others. This includes, but is not limited to, providing copies to clients, coworkers, or third-party designers unless they have purchased their own separate license.

Intellectual Property Rights
All website templates and digital products sold by 1803 Designs LLC are the exclusive intellectual property of 1803 Designs LLC and are protected under United States copyright laws, international copyright treaties, and digital rights protections. When you purchase a template, you are not purchasing the ownership of the template but rather a limited, non-exclusive, non-transferable license to use it as permitted under this License Agreement. Ownership of the template remains with 1803 Designs LLC, and any unauthorized use, reproduction, or distribution of the template beyond the scope of this Agreement constitutes copyright infringement.
Under this Agreement, you do not acquire any rights, title, or interest in the template’s design, layout, structure, code, or any associated intellectual property. The license granted does not permit reproduction, reverse engineering, derivative work creation, or any modification that results in resale or redistribution of the template. The template may not be claimed as your own work or be used in a way that infringes upon the original creator’s rights.
To enforce our intellectual property rights, we actively monitor unauthorized use, duplication, and redistribution of our templates. Any violations of this Agreement, including but not limited to unauthorized sales, file-sharing, or sublicensing, will result in immediate revocation of the license and legal action, including DMCA takedown requests, cease and desist orders, and claims for financial damages.

License Termination & Revocation
The license granted to you by 1803 Designs LLC is subject to strict compliance with the terms and conditions outlined in this Agreement. If you violate any provision of this License Agreement, your license will be automatically and immediately revoked without prior notice. Upon termination, you must cease all use of the template, delete all copies in your possession, and remove the template from any website or project where it has been implemented. Continued use of the template after revocation constitutes copyright infringement and may result in legal action, including financial penalties and DMCA takedown enforcement.
Your license may also be revoked if you engage in prohibited activities such as reselling, redistributing, or sublicensing the template, sharing it with unauthorized third parties, or modifying it for commercial resale. If you attempt to bypass licensing restrictions by using a single template for multiple websites or clients without purchasing additional licenses, your license will be terminated, and you may be subject to legal liability.
Additionally, if you initiate an unauthorized chargeback or payment dispute with your bank or payment provider, your license to use any previously purchased templates will be immediately revoked, and you will be permanently banned from making future purchases. 1803 Designs LLC reserves the right to take legal action against fraudulent chargebacks and report such actions to credit bureaus, payment processors, and fraud prevention databases.
License termination is final, and no refunds will be issued for revoked licenses. 1803 Designs LLC reserves the right to seek legal remedies, including injunctive relief, monetary damages, and recovery of legal fees, against any individual or entity that misuses or violates the terms of this License Agreement. 

No Warranty & Limitation of Liability
All website templates and digital products sold by 1803 Designs LLC are provided “as is” and “as available”, without any warranties, express or implied. 1803 Designs LLC makes no guarantees or representations regarding the performance, functionality, compatibility, or suitability of its templates for any specific purpose. By purchasing and using a template, you acknowledge that you assume full responsibility for its implementation and compatibility with third-party platforms, hosting services, or software applications.
1803 Designs LLC does not warrant that its templates will be error-free, uninterrupted, or free from security vulnerabilities. We are not responsible for compatibility issues, including but not limited to conflicts with third-party plugins, hosting limitations, or platform updates that may affect the performance of the template. Additionally, we do not guarantee any SEO performance, website traffic, or business success resulting from the use of our templates.
To the fullest extent permitted by law, 1803 Designs LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to the use of our templates. This includes, but is not limited to, loss of data, revenue, profits, business opportunities, or website downtime, even if we have been advised of the possibility of such damages. You agree that your sole remedy for dissatisfaction with a template is to discontinue its use.
By purchasing and using our templates, you acknowledge that 1803 Designs LLC’s total liability under this License Agreement, regardless of the form of action, shall never exceed the amount paid by the customer for the template. If any provision of this limitation of liability is found to be unenforceable under applicable law, the liability of 1803 Designs LLC shall be limited to the maximum extent permitted.

Governing Law & Dispute Resolution
This License Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under or related to this Agreement, including but not limited to issues regarding intellectual property rights, license violations, or payment disputes, shall be resolved exclusively in the state or federal courts located in Florida. By purchasing and using a template from 1803 Designs LLC, you agree to submit to the jurisdiction and venue of these courts and waive any objections based on forum non conveniens.
In the event of a dispute, both parties agree to engage in good faith negotiations to resolve the matter before pursuing litigation. If a resolution cannot be reached, the dispute may be subject to mediation or arbitration in accordance with Florida law. Any legal action brought against 1803 Designs LLC in violation of this Agreement may result in liability for legal fees, court costs, and damages incurred by the company.
